Terms of Service

These Terms govern your use of SageSight, a Vignis product operated by Vignis LLC, a limited liability company registered in Wyoming, USA ("we", "us", "our"). By creating an account or using the SageSight application or website (the "Service"), you agree to these Terms, our Privacy Policy, and the policies incorporated below. Availability, features, and payment methods may differ by region. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service and make purchases. You agree to provide accurate account information, to keep your credentials secure, and that you are responsible for all activity under your account. Notify us promptly of any unauthorized use.

2. The Service

SageSight provides guided meditation, AI-powered "mentor"/sage conversations for journaling and self-reflection, daily practice and evening reflection, a personal archive, and optional entertainment divination/astrology-style readings. Available features depend on your subscription tier and available credits, and may change over time.

3. Subscriptions, credits & payments

Some features require a paid membership or virtual credits. Monthly membership renews automatically until cancelled; cancellation stops future renewal and takes effect at the end of the paid billing period. Three-month, annual and two-year memberships are one-time prepaid purchases, do not renew automatically, and expire at the end of the purchased term unless extended. Redemption codes issued by us or an authorised channel are single-use digital credentials and grant only the Lingxi amount, membership tier and duration explicitly recorded for that code; a Lingxi amount never upgrades membership by itself. Dodo Payments is our authorised reseller and merchant of record: it processes checkout, payment methods, applicable tax, receipts, billing support, disputes, and approved refunds. The price and tax shown at checkout form the order total, and the Dodo Payments Buyer Terms also apply to the purchase. See our Refund & Cancellation Policy.

4. Lingxi virtual credits

Lingxi are in-app virtual credits used solely to unlock Service features. They have no monetary value, are not currency or property, cannot be exchanged for cash, and are non-transferable. Purchased packs, membership grants, referral or promotional grants, and feature prices may have different conditions. Once any part of a purchased pack has been used, it is non-refundable except where required by law. A completed refund, payment reversal, or final adverse dispute decision may remove the corresponding membership term, purchased Lingxi, and related one-time membership grants. If those Lingxi were already used, the balance may become negative and paid features may remain unavailable until the balance is restored. We may adjust future feature prices, grants, expiration rules, and reasonable anti-abuse limits, with material changes communicated where required.

5. Acceptable use

You agree not to:

• use the Service for any unlawful, fraudulent, harassing, or harmful purpose;
• present or resell the Service's output as professional, certified, or authoritative advice, or impersonate a licensed professional;
• misuse, disrupt, overload, probe, or attempt to gain unauthorized access to the Service or its systems;
• reverse-engineer, scrape, or use automated means to extract data or bypass usage/AI limits;
• share, sell, or transfer account access; or
• submit content that is illegal, infringing, or violates others' rights, or others' personal data without consent.

We may investigate, limit, suspend, or terminate accounts that violate these Terms or abuse the Service or its AI/usage limits.

6. Your content & license

You retain ownership of the content you create or submit (e.g., journal entries, questions, inputs) ("Your Content"). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely to operate, secure, and improve the Service for you (including transmitting relevant prompts to AI providers to generate responses). You are responsible for Your Content and confirm you have the rights to submit it. We may remove content that violates these Terms.

7. AI-generated content

Responses, readings, and analyses are generated by third-party AI models and may be inaccurate, incomplete, or inconsistent, and may not be unique to you. Ownership of and rights in AI output are subject to applicable law and the AI provider's terms. You use such output at your own discretion and risk.

8. Intellectual property

The Service, its software, design, text, and branding (including SageSight and the twin-phoenix emblem) are owned by Vignis LLC or its licensors and are protected by law. We grant you a limited, personal, non-transferable, revocable license to use the Service for your own non-commercial purposes. All rights not expressly granted are reserved. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

9. Third-party services

The Service integrates or links to third-party services (including AI, storage, and payment providers, and any external links). We are not responsible for third-party services, and your use of them is governed by their own terms and policies.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content will be accurate or reliable. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

11. Limitation of liability

To the maximum extent permitted by law, Vignis LLC and its officers, members, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or for decisions or actions taken based on Service content. Our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the three (3) months before the event giving rise to the claim, or (b) USD 50. Some jurisdictions do not allow certain limitations, so some may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Vignis LLC and its providers from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your misuse of the Service, Your Content, or your violation of these Terms or of any law or third-party right.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, for breach of these Terms, suspected fraud or abuse, or as required by law. Provisions that by their nature should survive termination (e.g., Sections 6–14) will survive.

14. Governing law & dispute resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules, except that mandatory consumer protections in your place of residence continue to apply. Before filing a claim, please contact contact@sagesight.ai and allow at least 30 days for good-faith informal resolution. If unresolved, either party may pursue available remedies before a court, regulator, or tribunal with lawful jurisdiction. The Dodo Payments Buyer Terms separately govern the payment transaction and may specify additional law or forum provisions. Nothing in these Terms deprives a consumer of a non-waivable right or remedy.

15. Changes to the Service & Terms

We may modify, suspend, or discontinue any part of the Service, and may update these Terms from time to time. Material changes are reflected by the "Last updated" date and, where appropriate, announced in-app. Your continued use after changes take effect constitutes acceptance; if you do not agree, stop using the Service.

16. Miscellaneous

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). You agree to comply with applicable export-control and sanctions laws and confirm you are not barred from using the Service under them.
